Terms of Service
These Terms of Service (hereinafter referred to as the “Terms”) set forth the conditions for the use of services (hereinafter referred to as the “Services”) provided on this website by Takayama Corporation (hereinafter referred to as the “Company”). Registered users (hereinafter referred to as “Users”) are required to use the Services in accordance with these Terms.
Article 1 (Scope)
- These Terms shall apply to all relationships between the User and the Company in connection with the use of the Services.
- In addition to these Terms, the Company may establish individual rules or policies (hereinafter referred to as “Individual Provisions”) related to the use of the Services. These Individual Provisions, regardless of their name, shall form part of these Terms.
- If the provisions of these Terms conflict with the provisions of the Individual Provisions in the preceding paragraph, the provisions of the Individual Provisions shall take precedence unless otherwise specified.
Article 2 (User Registration)
- To use the Services, a registration applicant must agree to these Terms and apply for registration in the manner prescribed by the Company. The registration shall be completed upon the Company’s approval.
- The Company may refuse registration if it determines that the applicant falls under any of the following, and is not obligated to disclose the reasons:
- If false information is provided during registration
- If the applicant has previously violated these Terms
- If the Company otherwise deems the registration inappropriate
Article 3 (Management of User ID and Password)
- Users shall manage their User ID and password for the Services responsibly and appropriately.
- Users shall not transfer, lend, or share their User ID and password with third parties under any circumstances. If a login is performed using a matching User ID and password, the Company will consider it to have been used by the registered User.
- The Company shall not be liable for any damages caused by the use of a User ID and password by a third party, unless the Company acted with intent or gross negligence.
Article 4 (Usage Fees and Payment)
- Users shall pay the usage fees for the paid parts of the Services as specified separately by the Company and displayed on the website, using the method designated by the Company.
- If the User delays payment, a late fee of 14.6% annually will be charged.
Article 5 (Prohibited Acts)
Users shall not engage in any of the following acts while using the Services:
- Acts that violate laws or public order and morals
- Criminal activities or related conduct
- Infringement of copyrights, trademarks, or other intellectual property rights included in the Services
- Disruption or obstruction of servers or networks of the Company, other users, or third parties
- Commercial use of information obtained through the Services
- Any act that may interfere with the operation of the Services
- Unauthorized access or attempts thereof
- Collecting or storing personal information of other users
- Use of the Services for fraudulent purposes
- Causing disadvantage, damage, or discomfort to other users or third parties
- Impersonating other users
- Unauthorized advertising, solicitation, or sales activities on the Services
- Using the Services for dating purposes with strangers
- Providing benefits directly or indirectly to antisocial forces
- Any other acts deemed inappropriate by the Company
Article 6 (Suspension of the Services)
- The Company may suspend or interrupt all or part of the Services without prior notice to Users if it determines any of the following:
- Maintenance or updates of the computer systems related to the Services
- Force majeure such as earthquakes, lightning, fire, power outages, or natural disasters
- Accidents causing computer or communication system failures
- Any other cases in which the Company determines that provision of the Services is difficult
- The Company shall not be liable for any disadvantages or damages incurred by Users or third parties due to suspension or interruption of the Services.
Article 7 (Usage Restrictions and Deregistration)
- The Company may, without prior notice, restrict a User’s access to all or part of the Services or delete the User’s registration if the User falls under any of the following:
- Violation of any provision of these Terms
- False information in the registered details
- Failure to fulfill payment obligations
- No response to communications from the Company for a certain period
- No use of the Services for a certain period since the last access
- Any other case where the Company deems the use inappropriate
- The Company shall not be liable for any damages incurred by the User as a result of actions taken under this article.
Article 8 (Withdrawal)
Users may withdraw from the Services by following the withdrawal procedures specified by the Company.
Article 9 (Disclaimer and Warranty)
- The Company does not warrant, expressly or implicitly, that the Services are free of defects (including defects in safety, reliability, accuracy, completeness, fitness for a particular purpose, security, etc.).
- The Company shall not be liable for any damages arising from the Services unless caused by intent or gross negligence. However, this disclaimer shall not apply if the contract between the Company and the User constitutes a consumer contract under the Consumer Contract Act of Japan.
- Even in cases where the preceding paragraph does not apply, the Company shall not be liable for any special damages arising from default or tort due to its own negligence (excluding gross negligence), including foreseeable damages. The maximum liability shall be the amount of usage fees received in the month when the damage occurred.
- The Company shall not be involved in any transactions, communications, or disputes between Users or between a User and a third party arising in relation to the Services.
Article 10 (Changes to the Services)
The Company may change, add, or discontinue the Services with prior notice to Users, and Users shall consent to such changes.
Article 11 (Amendments to the Terms)
- The Company may amend these Terms without obtaining individual consent from Users in the following cases:
- If the amendment is in the general interest of the Users
- If the amendment is not contrary to the purpose of the Service contract, and is reasonable considering the necessity, content, and other circumstances
- The Company will notify Users in advance of any amendments to these Terms, including the effective date and the amended content.
Article 12 (Handling of Personal Information)
The Company will appropriately handle personal information obtained through the Services in accordance with its Privacy Policy.
Article 13 (Notices and Communication)
Notifications or communications between the User and the Company shall be made in accordance with the method specified by the Company. Unless otherwise notified by the User in a manner specified by the Company, the Company will consider the registered contact information to be valid and will deem notifications to have been received at the time of dispatch.
Article 14 (Prohibition of Assignment of Rights and Obligations)
Users may not transfer or pledge their contractual position or rights and obligations under these Terms to a third party without prior written consent from the Company.
Article 15 (Governing Law and Jurisdiction)
- These Terms shall be governed by the laws of Japan.
